Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the websites located at factori.ai (including any subdomains), and any related online services, portals, APIs, and applications provided by Factori (collectively, the “Services”). The Services are offered by Factori Technologies Pte Ltd. (“Factori,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and “you” refers to that organization.

The Services are intended for business and enterprise users. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

Factori operates a platform that enables enterprise customers to access Data Products and enables Data Providers to make Data Products available through the Factori Platform. Data Products may include standardized formats, geo alignment, aggregation, quality flags, and other transformations applied by Factori.

6. Data Products and Availability

6.1. Availability and changes

Data Products may change over time due to provider updates, coverage changes, schema revisions, or platform improvements. We may add, modify, suspend, or discontinue any Data Product or feature at any time, including to address legal, compliance, security, or quality concerns.

6.2 Trials and previews

We may offer trial access, samples, previews, or limited evaluation access. Such access may be time-limited, usage-limited, and subject to additional restrictions.

Data Products may be derived from multiple sources, may be aggregated or modeled, and may contain errors or omissions. See section 13 (Disclaimers).

7. Customer Data (If You Upload or Provide Data)

7.1 You retain rights

As between you and Factori, you retain ownership of Customer Data.

7.2 Your responsibilities

You represent and warrant that you have all necessary rights and permissions to provide Customer Data to the Services, including required notices and consents for any Personal Data.

You grant Factori a limited, non-exclusive license to use Customer Data solely to:

You must not provide sensitive personal data (e.g., precise geolocation about individuals, health data, government identifiers) unless expressly permitted in writing by Factori and covered by appropriate contractual terms.

Factori retains all rights in and to the Factori Platform, Services, Documentation (except provider materials), and related technology.

8.2 Provider IP

Data Providers retain ownership of their Provider Data and provider-owned materials, subject to licenses granted through the platform.

8.3 Your license to use the Services

Subject to these Terms and any Order Form, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

13. Disclaimers

13.1. Services “as is”

THE SERVICES AND DATA PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACTORI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2. Data Products limitations

Data Products may be based on third-party Provider Data and other sources. Factori does not warrant that Data Products are complete, current, error-free, or suitable for any specific decision.

Nothing in the Services constitutes legal, financial, compliance, or professional advice.

14. Suspension and Termination

We may suspend or restrict access to the Services or any Data Product if we believe:

The Services may contain links to third-party sites or integrations. Factori does not control third-party services and is not responsible for them. Your use of third-party services is subject to their terms.

18. Changes to the Services or Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the “Last Updated” date. Your continued use after changes become effective constitutes acceptance.
