Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the websites located at factori.ai (including any subdomains), and any related online services, portals, APIs, and applications provided by Factori (collectively, the “Services”). The Services are offered by Factori Technologies Pte Ltd. (“Factori,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and “you” refers to that organization.

1. Who the Services Are For

The Services are intended for business and enterprise users. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

2. Definitions

For clarity, the following terms have the meanings set out below:

  • 2.1. “Account” means an account created to access the Services.
  • 2.2. “Authorized Users” means individuals you permit to access the Services under your Account.
  • 2.3. “Data Providers” means third-party suppliers or partners who make data available via the Services.
  • 2.4. “Data Products” means datasets, feeds, indices, and/or analytics outputs made available via the Services (including via API, data share, marketplace listing, or other supported delivery), which may be provided by Data Providers and/or Factori.
  • 2.5. “Provider Data” means data supplied by a Data Provider that may be used to create or deliver a Data Product.

3. Factori’s Role: Platform Operator and Governed Distribution

3.1 Platform role:

Factori operates a platform that enables enterprise customers to access Data Products and enables Data Providers to make Data Products available through the Factori Platform. Data Products may include standardized formats, geo alignment, aggregation, quality flags, and other transformations applied by Factori.

3.2 Provider ownership and certifications

Unless explicitly stated otherwise in Documentation, an Order Form, or a separate written agreement:

  • Data Providers retain ownership of their Provider Data; and
  • Data Providers are responsible for lawful collection and for maintaining required rights, notices, and consents for Provider Data made available through the Services.

3.3 Your responsibility for use

You are responsible for how you use the Data Products and Services in your environment, including ensuring your use complies with:

  • these Terms,
  • the AUP,

4. Additional Agreements

Your use of certain Services or Data Products may be governed by additional terms, including:

  • an Order Form,
  • a subscription agreement or data license agreement,

If there is a conflict, the following order of precedence applies (unless otherwise stated):
Order Form / product-specific terms → Data license/subscription agreement → these Terms → Documentation → AUP.

5. Accounts and Access

5.1 Account creation

You may need to create an Account to access certain Services. You agree to provide accurate information and keep it updated.

5.2 Authorized Users

You are responsible for:

  • all activity under your Account,
  • ensuring Authorized Users comply with these Terms, and
  • maintaining appropriate access controls.

5.3 Security

You must safeguard credentials and promptly notify us of any suspected unauthorized access. We may suspend access to protect the Services or Data Products.

6. Data Products and Availability

6.1. Availability and changes

Data Products may change over time due to provider updates, coverage changes, schema revisions, or platform improvements. We may add, modify, suspend, or discontinue any Data Product or feature at any time, including to address legal, compliance, security, or quality concerns.

6.2 Trials and previews

We may offer trial access, samples, previews, or limited evaluation access. Such access may be time-limited, usage-limited, and subject to additional restrictions.

6.3 No guarantee of completeness

Data Products may be derived from multiple sources, may be aggregated or modeled, and may contain errors or omissions. See section 13 (Disclaimers).

7. Customer Data (If You Upload or Provide Data)

7.1 You retain rights

As between you and Factori, you retain ownership of Customer Data.

7.2 Your responsibilities

You represent and warrant that you have all necessary rights and permissions to provide Customer Data to the Services, including required notices and consents for any Personal Data.

7.3 License to Factori

You grant Factori a limited, non-exclusive license to use Customer Data solely to:

  • provide the Services and Data Products to you,
  • maintain and secure the Services,
  • enforce policies, and
  • comply with legal obligations.

7.4 Restrictions on sensitive data

You must not provide sensitive personal data (e.g., precise geolocation about individuals, health data, government identifiers) unless expressly permitted in writing by Factori and covered by appropriate contractual terms.

8. Licenses and Intellectual Property

8.1 Factori IP

Factori retains all rights in and to the Factori Platform, Services, Documentation (except provider materials), and related technology.

8.2 Provider IP

Data Providers retain ownership of their Provider Data and provider-owned materials, subject to licenses granted through the platform.

8.3 Your license to use the Services

Subject to these Terms and any Order Form, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

  • provide the Services and Data Products to you,
  • maintain and secure the Services,
  • enforce policies, and
  • comply with legal obligations.

8.4 Your license to use Data Products

Your rights to use Data Products are governed by:

  • the applicable Order Form and product-specific permitted-use terms, and
  • the AUP and these Terms.

Unless explicitly permitted in writing:

  • you may not resell, redistribute, sublicense, or publish Data Products, and
  • you may not provide Data Products to third parties (including affiliates or contractors) except as expressly authorized.

9. Acceptable Use and Prohibited Activities

You agree not to, and not to permit others to:

Factori retains all rights in and to the Factori Platform, Services, Documentation (except provider materials), and related technology.

9.1 Re-identification and surveillance

Data Providers retain ownership of their Provider Data and provider-owned materials, subject to licenses granted through the platform.

  • Attempt to re-identify individuals from aggregated or de-identified data.
  • Use the Services or Data Products for unlawful surveillance, tracking, or harassment.
  • Combine Data Products with other data in a way that attempts to reveal identity or sensitive traits in a prohibited manner.

9.2 Discrimination and sensitive inference

  • Use Data Products to target or profile individuals in ways that violate anti-discrimination laws.
  • Use Data Products to infer or exploit sensitive attributes (e.g., health status, religion, sexual orientation) unless explicitly permitted under a specific product agreement and lawful.

9.3 Eligibility decisions

Unless expressly authorized in writing, you may not use the Services or Data Products to make or support eligibility decisions, including for credit, employment, housing, insurance eligibility, or similar decisions.

9.4 Security and misuse

  • Reverse engineer, scrape, or attempt to extract underlying source datasets.
  • Bypass access controls, rate limits, or authentication.
  • Introduce malware or attempt to disrupt the Services.
  • Use the Services in violation of applicable sanctions/export controls.

9.5 Platform integrity

  • Misrepresent your identity or affiliation.
  • Use the Services to compete with Factori by creating a substantially similar product using Data Products, except as permitted in an Order Form.

Factori may publish and update an AUP and other policies from time to time. Those policies are incorporated by reference.

10. Data Provider Terms (If You Are a Data Provider)

If you are a Data Provider:

  • you must enter into a separate written agreement with Factori governing onboarding, rights, compliance, delivery, permitted uses, and commercial terms; and
  • these Terms apply only to the extent they do not conflict with your Data Provider agreement.

11. Fees, Orders, and Payment

If you purchase subscriptions or access to Data Products, fees and payment terms will be set out in your Order Form and/or subscription agreement. Unless otherwise stated:

  • fees are non-refundable,
  • taxes may apply and are your responsibility, and
  • late payments may result in suspension of Services.

12. Privacy

Our collection and use of information via the Services is described in our Privacy Policy (incorporated by reference). If you or your Authorized Users provide Personal Data, additional contractual terms (e.g., a DPA) may apply.

13. Disclaimers

13.1. Services “as is”

THE SERVICES AND DATA PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACTORI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2. Data Products limitations

Data Products may be based on third-party Provider Data and other sources. Factori does not warrant that Data Products are complete, current, error-free, or suitable for any specific decision.

13.3 No professional advice

Nothing in the Services constitutes legal, financial, compliance, or professional advice.

14. Suspension and Termination

14.1. Suspension

We may suspend or restrict access to the Services or any Data Product if we believe:

  • there is a security risk,
  • there is suspected misuse or violation of these Terms or the AUP,
  • a Data Provider suspends or withdraws the underlying data,
  • required payments are not made, or
  • continued access creates legal or compliance risk.

14.2. Termination

We may terminate your Account or access for material breach. You may terminate by ceasing use of the Services (or per an Order Form).

14.3. Effect

Upon termination:

  • your right to access the Services ends,
  • Data Product access ends except as stated in an Order Form,
  • certain sections (e.g., IP, disclaimers, limitation of liability) survive.
  • continued access creates legal or compliance risk.

15. Indemnification

You agree to defend, indemnify, and hold harmless Factori and its affiliates from claims arising out of:

  • your (or your Authorized Users’) misuse of the Services or Data Products,
  • your violation of these Terms, AUP, or applicable laws,
  • your Customer Data and any claim that you lacked rights/consent to provide it.

Factori’s indemnity obligations (if any) are addressed in the applicable enterprise agreement or Order Form.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • FACTORI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • FACTORI’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO FACTORI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF NO FEES WERE PAID, UNLESS YOUR ORDER FORM OR ENTERPRISE AGREEMENT STATES OTHERWISE.

Some jurisdictions do not allow certain limitations; in that case, limitations apply to the maximum extent permitted.

17. Third-Party Services and Links

The Services may contain links to third-party sites or integrations. Factori does not control third-party services and is not responsible for them. Your use of third-party services is subject to their terms.

18. Changes to the Services or Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the “Last Updated” date. Your continued use after changes become effective constitutes acceptance.

19.Miscellaneous

  • Assignment. You may not assign these Terms without Factori’s consent. Factori may assign in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • Entire Agreement. These Terms plus referenced policies and any Order Form are the entire agreement regarding the Services, except where a separate enterprise agreement applies.
